General Terms and Conditions (AGB) for PASS International SA
These General Terms and Conditions (hereinafter referred to as „Terms“) govern the contractual relationship between PASS International SA (hereinafter referred to as „PASS,“ „we,“ or „us“) and our clients (hereinafter referred to as „Client“ or „you“). By engaging our services, you agree to these Terms.
1. Scope of Services
PASS International SA provides strategic consulting, project management, and related services as agreed upon in individual contracts or project agreements. The specific scope, deliverables, and timelines will be outlined in a written agreement or statement of work (SOW).
2. Client Obligations
The Client agrees to:
- Provide accurate and complete information necessary for the execution of the services.
- Cooperate in a timely manner and grant access to required resources or personnel.
- Notify PASS promptly of any changes or issues that may affect the project.
3. Fees and Payment
- Fees for services will be specified in the contract or SOW.
- Invoices are payable within 20 days of receipt unless otherwise agreed.
- Late payments may incur interest at the statutory rate or as specified in the contract.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of the engagement. This obligation remains in effect even after the termination of the contract.
5. Intellectual Property
- All intellectual property (IP) developed by PASS during the project remains the property of PASS unless otherwise agreed in writing.
- The Client is granted a non-exclusive, non-transferable license to use deliverables for their intended purpose.
6. Liability
- PASS is liable for damages only in cases of gross negligence or willful misconduct.
- Liability is limited to the total fees paid by the Client for the specific project.
- PASS is not liable for indirect, consequential, or incidental damages.
7. Termination
- Either party may terminate the contract with 30 days written notice.
- In case of termination, the Client is responsible for payment of all services rendered up to the termination date.
8. Force Majeure
Neither party is liable for delays or failures in performance caused by events beyond their reasonable control, such as natural disasters, pandemics, or government actions.
9. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Switzerland.
- Any disputes arising from these Terms will be resolved through amicable negotiations. If no resolution is reached, disputes will be settled by the competent courts of 1880 Bex.
10. Amendments
PASS reserves the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the updated Terms.
